Confirmation statement

A confirmation statement is the filing a company makes to Companies House at least once a year to confirm that the information held about it on the public register is correct and up to date. It is separate from the annual accounts.

A confirmation statement is the filing a company makes to Companies House at least once a year to confirm that the information held about it on the public register is correct and up to date. It is separate from the annual accounts.

What it confirms

The confirmation statement (form CS01) confirms, as at a chosen date, the company’s:

  • registered office and registered email address;
  • directors, secretary and people with significant control;
  • business activities (SIC codes);
  • share capital and shareholders;
  • statement that its intended future activities are lawful.

If something has changed, such as a director or the registered office, that change usually has to be filed separately first.

When it is due

The statement must be filed at least once every 12 months, within 14 days of the end of the review period. A fee is payable each year. The company needs its authentication code to file online.

Heads up — every company has to file one, including a dormant company. Not filing is an offence and can lead to the company being struck off.
